Indemnification
You agree to indemnify, defend, and hold harmless Blink Consulting, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third-party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of our services, violation of these Terms of Service, or infringement of any intellectual property or other rights of any person or entity.
Dispute Resolution
Mediation: In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.
Limitation on Litigation: The parties agree that any mediation shall be limited to the dispute between the parties individually. To the full extent permitted by law, (a) no mediation shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Waiver of Jury Trial: The parties hereby waive their constitutional and statutory rights to go to court and have a trial in front of a judge or a jury, choosing instead to resolve any and all disputes by arbitration.
Severability and Integration
This Agreement constitutes the entire agreement between you and Blink Consulting and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Blink Consulting with respect to our services. If any part of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

BY USING BLINK CONSULTING'S SERVICES OR ACCESSING THE BLINK CONSULTING SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
